Articles of Incorporation

Articles of Incorporation of the undersigned, a citizen of the United States, desiring to form a Non-Profit Corporation under the Non-Profit Corporation Laws of the State of Washington, does hereby certify:

First: The name of the Corporation shall be: Health Environment Analysis Laboratory.

Second: The place in this state where the principal office of the Corporation is to be located is the City of Olympia, Thurston County.

Third: Said corporation is organized exclusively for charitable, educational and scientific purposes, including, for such purposes, the making of distribution to organizations that qualify as exempt organizations under section 501(c)(3) of the Internal Revenue Code, or the corresponding section of any future federal tax code.

Fourth: The names and addresses of the persons who are the initial trustees of the corporation are as follows:

Fifth: No part of the net earnings of the corporation shall inure to the benefit of, or be distributable to its members, trustees, officers or other private persons, except that the corporation shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the purposes set forth in Article third hereof. No substantial part of the activities of the corporation shall be the carrying on of propaganda, or otherwise attempting to influence legislation, and the corporation shall not participate in, or intervene in (including the publishing or distribution of statements) any political campaign on behalf of or in opposition to any candidate for public office. Notwithstanding any other provision of these articles, the corporation shall not carry on any other activities not permitted to be carried on (a) by a corporation exempt from federal income tax under section 501(c)(3) of the internal Revenue Code, or the corresponding section of any future federal tax code, or (b) by a corporation, contributions to which are deductible under section 170(c)(2) of the Internal Revenue Code, or the corresponding section of any future federal tax code.

Sixth: Upon the dissolution of the corporation, assets shall be distributed for one or more exempt purposes within the meaning of section 501(c)(3) of the Internal Revenue Code, or the corresponding section of any future federal tax code, or shall be distributed to the federal government, or to a state or local government, for a public purpose. Any such assets not so disposed of shall be disposed of by a Court of Competent Jurisdiction of the county in which the principal officer of the corporation is then located, exclusively for such purposes or to such organization or organizations, as said Court shall determine, which are organized and operated exclusively for such purposes.

Part II

Part II, 1.

The goal of Health Environment Analysis Laboratory (HEAL) is to contribute to the prevention and cure cancer.

The philosophy of HEAL is to promote health through knowledge of the causes of disease as well as principles of health. The methods are laboratory research using lower animals and cultured cell lines and also using published research.

(a) The specific direction of the research activity is as follows:

1. Confirm whether past experiments, that show a correlation of hepatoma susceptibility to the deficiency of the detoxifying catalase enzyme found in certain fish species, are a general and direct causative factor in carcinogenesis.

2. Refine and elaborate on techniques discovered in past experiments which compensate for catalase deficiency in hepatoma susceptible animals and determine if an increase in catalase activity increases resistance to this type of cancer and then to other types of cancer in general.

3. Determine if the development of tumors is related to a dysfunction of certain gene receptors. Of particular concern are the receptors which activate transcription for proteins effecting cell differentiation. This phase of the research will target the events and metabolism surrounding the retinoid receptors - trans retinoic acid receptors (RAR) and 9-cis retinoic acid receptors (RXR). The object is to find whether inhibited cell differentiation is related to depressed formation of specific retinoids which are necessary for activating either RAR or RXR, or to a dysfunction of retinoid binding (carrier) proteins or to other factors in this chain which regulates transcription.

4. Determine whether the previously demonstrated catalase requirement for polyunsaturated fatty acids is involved in the oxidative pathways converting retinol to retinoic acid.

See the attached description of the polyunsaturated fatty acid dependent, catalase mediated oxidation of organic molecules entitled "Catalase Deficiency and Hepatoma Susceptibility in Steelhead Trout", authored by the president of HEAL. 

(b) The described work is to be started immediately when funding is sufficient to acquire the necessary facilities and to ensure that the effort and progress can be continuous and uninterrupted.

The total time and resources of HEAL are to be devoted to the above described research. It shall be understood however that some minor time spent in creative research, that are not directly evident as within the context described in (a) above, shall not be prohibited if the director of HEAL judges that it could ultimately reveal information necessary or beneficial to the cure of cancer. All work of the organization shall be lawful within the context of HEAL as a 501(c)3 organization. Research results will aid in guiding future research as progress is made. The results will be made available to the public in journals or other common and valid means of public communication for this type of work.

This research work is to be conducted in facilities which have:

1. A sufficient supply and quality of water to conduct aquatic toxicology research (approximately 40 gpm).

2. Space and ventilation for small animal research.

3. Both analytical laboratory and cell culture laboratory facilities.

4. Support facilities including cold room storage and appropriate waste and water disposal, heat control, permits, etc.

(c) The research tasks and performance will be done under the direct supervision of the president of HEAL as the organization director, his successor or appointee. This does not mean that future HEAL employees, volunteers, officers or directors cannot contribute and counsel in the overall affairs and goals of the organization.

Part II, 2.

The sources of the organization's financial support are planned to be:

1. Direct contributions, gifts and grants.

2. Donations by an officer or other member of the organization.

Part II, 3.

The fund raising program will consist of solicitation of contributions from the public through inter-net advertizing and by application for grants from charity foundations.

Part II, 4, b.

No compensation is to be made to any officers, associates, or employees other than wages for time spent in furthering the goals of the Organization. Wages shall be in harmony with accepted local rates. Volunteer service by officers may also be rendered.
